Lex Nova Consult is seeking a full-time, hybrid Lawyer to provide specialized legal services for European businesses expanding into the Middle East. The Lawyer will handle company incorporations, corporate restructurings, legal advisory, contract drafting, and compliance matters. This role requires expertise in corporate and commercial law, with a focus on UAE regulations.

Key Responsibilities:

• Manage company incorporations in all seven UAE emirates, including Free Zones and Mainland.

• Support restructuring and liquidation processes.

• Provide legal advice on corporate and commercial matters.

• Draft, review, and negotiate contracts, agreements, and legal documents.

• Ensure compliance with corporate governance and legal regulations.

• Advise on mergers, acquisitions, joint ventures, and corporate transactions.

• Monitor changes in laws and regulations affecting clients.

• Represent clients in dealings with institutions, enterprises, and regulatory bodies.

• Liaise with external counsel and regulatory authorities as needed.

• Advise on corporate governance matters, including board meetings and shareholder resolutions.

Candidate Profile / Qualifications:

• Bachelor’s degree in Law.

• Minimum 5 years of experience in corporate or commercial law.

• Proficient in drafting legal documents.

• Strong understanding of corporate governance, compliance, labour law, and regulatory frameworks.

• Fluent in English and Russian (spoken and written).

• Critical thinking and research skills.

• Preferred experience in tax, corporate, and employment (labour) law.
