Al Ramz Corporation P.J.S.C. is seeking a Head of Legal / Senior Vice President to lead its legal function in Abu Dhabi. The role involves developing and implementing corporate legal strategy, providing guidance on corporate governance, contracts, risk management, and ensuring compliance with UAE regulations including SCA, ADGM, ADX, and DFM.

Key Responsibilities:

• Develop and implement a corporate legal strategy to protect the company’s interests.

• Review, draft, and negotiate contracts, ensuring compliance with UAE laws and company policies.

• Ensure statutory legal requirements are met and coordinate reporting to relevant authorities.

• Provide expert legal advice to management and all departments on corporate governance and regulatory matters.

• Collaborate with Risk & Compliance departments to resolve complex compliance issues.

• Oversee litigation, investigations, and administrative proceedings involving Al Ramz.

• Advise on negotiations and dispute management with clients or organizations.

• Support the Board of Directors in adherence to corporate governance principles, Articles of Association, and charters.

• Maintain legal compliance across the business and monitor regulatory updates in UAE corporate and investment banking law.

Qualifications & Skills:

• Bachelor’s Degree in Law (specialization in Commercial Law preferred).

• Master’s degree or professional legal qualification is desirable.

• Minimum 10 years of experience in investment banking or corporate finance advisory.

• Extensive knowledge of corporate law, compliance, disclosure requirements, and governance best practices.

• Strong negotiation, dispute management, analytical, and interpretive skills.

• Deep understanding of SCA, ADGM, ADX, and DFM rules and regulations.

• Excellent communication and presentation skills; fluent in Arabic and English.
