About the Role

Mirka Trade DMCC is seeking an experienced Legal Counsel to provide expert legal advice and support across the company’s corporate and commercial operations. The role will focus on ensuring compliance with UAE, English, and international laws while managing a wide range of commercial contracts, regulatory matters, and corporate governance issues.

The ideal candidate will possess a strong legal background, preferably within the Oil & Gas, logistics, or trading sectors, and be capable of handling complex legal documentation with precision and independence.

Key Responsibilities

• Provide legal advice on corporate, commercial, and regulatory matters under UAE and English law, extending to EMEA as required.

• Draft, review, and negotiate a variety of legal documents including sale and purchase agreements, distribution, agency, joint venture, M&A, and shareholder agreements.

• Advise on corporate governance, compliance, and risk management frameworks.

• Support group operations and subsidiaries on corporate structure, compliance training, and regulatory matters.

• Maintain up-to-date knowledge of relevant international legislation, including trade control, anti-bribery, and compliance.

• Conduct legal research and ensure best practices in all legal processes.

• Travel occasionally to support business units across regions.

Qualifications & Skills

• Law degree with Solicitor Practicing Certificate (Europe, Middle East, or equivalent jurisdiction).

• Minimum 3 years’ experience in an international law firm or multinational corporate legal department.

• Proven expertise in drafting and negotiating international commercial agreements.

• Strong understanding of corporate governance, compliance, and M&A.

• Excellent communication and negotiation skills; able to advise stakeholders confidently.

• High level of accuracy, professionalism, and attention to detail.

• Proactive mindset, strong organizational skills, and ability to meet tight deadlines.

• Bilingual proficiency (English/Russian) preferred.

• Experience working in both UAE and UK jurisdictions is an advantage.
